I am a volunteer at the university archives and process collections is one
of the things I do. There is a standard form that I assume most other
institutions use that the archivist and the donor both sign. It isn't
complex but this is where any restrictions can be noted by the donor, etc.

Once that is signed the university owns the collection. They can organize
it, prepare a preliminary inventory, decide what they want to keep or
dispose of, etc. As a courtesy to the donor, after things not to be kept
are removed from the files they are offered back to the donor. However, it
works best if this is discussed with the donor before the form is signed.
That way he can state you have the discretion to dispose of ----- (whatever
you want to say, something like "duplications, copyright protected
materials, etc.."
