CONSENT AGREEMENT

This Agreement is entered into as of the _____ day of _______________,
2001, by
and between The USGenWeb Project and the USGenWeb Archives(TM)

1. The USGenWeb Project is a not-for-profit association with its principal
place of business at 4869 Hillsdale Circle, Chattanooga,
Tennessee.

2. The USGenWeb Archives(TM) is a not-for-profit association with its
principal
place of business at 531 Queensway Road, Richmond, Virginia.

3. Since June 1996, The USGenWeb Project has used the mark "USGenWeb" and
since
December 1996, "The USGenWeb Project" in connection with
providing genealogical
assistance via a global computer network.

4. Since June 1996, the USGenWeb Archives(TM) has used the mark "USGenWeb
Archives(TM)"
in connection with providing an online computer database of
genealogical
information.

5. In May 2000, the USGenWeb Archives(TM) filed an application with the
United States
Patent and Trademark Office to register the mark "USGenWeb
Archives(TM)." On August
5, 2001, the United States Patent and Trademark Office approved
for publication
the mark "USGenWeb Archives(TM)."


6. On or about March 30, 2001, USGWP filed applications with the United
States Patent and Trademark Office to register the marks
"USGenWeb" and "The
USGenWeb Project".

7. The USGenWeb Archives(TM) hereby consents to the registration by The
USGenWeb
Project of the marks "USGenWeb" and "The USGenWeb Project." The
USGenWeb
Archives(TM) agrees that it will take no action to contest
attempted registration
of such marks by The USGenWeb Project, and agrees it will take
no action
to challenge or prevent the use of such marks by The USGenWeb
Project.

IN WITNESS WHEREOF, the parties have executed this agreement to be
effective as of
