Hi! I cannot over emphasize the importance of our Latta Newsletter becoming
part of a non profit organization. To this end, Cindy Stiene has sent to me a
preliminary draft copy of possible by laws that we might use. I plan to print
them in the next newsletter, but I also wanted to obtain constructive
suggestions on the by laws, and any further steps. Since this affects everyone, I
wanted to ask for everyone's help. See the following:

Here is the 1st draft of the By-Laws & Constitution for the Latta
Association. I've taken it verbatim (with some tweaks) from an example
I was provided, just to get everyone's thought processes rolling.
Please forward this draft to all the captains and other interested
members who will be crafting our fledgling group. All comments,
suggestions, etc. are welcome.

Constitution and By-Laws

CONSTITUTION


ARTICLE I - NAME

The name of this organization shall be Latta Genealogical Society,
Incorporated.

ARTICLE II - Purpose

The purpose of the Latta Genealogical Society is to archive, connect,
memorialize and publish information and documentation that will assure
honor & respect for the various families named Latta, Lattie, Latto,
Latty, Lattea, etc. in a genealogical, historical and an etymological
orientation.

ARTICLE III - Membership

Any person who subscribes to the constitution and the by-laws of the
Latta Genealogical Society, Inc., may become a member upon payment of
board established fees in keeping with the type of membership desired
and for which an application as been received and approved by the
director of operations.

ARTICLE IV - Administration

Sect. 1. The administrative affairs of this society shall be vested in
the Executive Committee (Board).

Sect. 2. The Executive Committee will use a director of operations to
carry out its responsibilities for day-to-day operations and/or
administration.

Sect. 3. The Executive Committee (Board) shall be composed of the
president, director of operations, Captains of the various Branches as
established, the secretary, treasurer and a number of board members at
large, as may be established by the Executive Committee (Board).

Sect. 4. As specified by the by-laws of the society, the society shall
select officers enumerated in section 3 above.

ARTICLE V- Executive

Executive power of this society shall be vested in the director of
operations.

ARTICLE VI - Auxiliary Societies

The society may affiliate with and grant honorary membership to persons
or societies whose purposes parallel and support the purposes of this
society.

ARTICLE VII - Amendments

Constitutional amendments may be made at society special meetings, or by
ground mailed or electronically mailed ballots, by two thirds (2/3rds)
majority vote of those members of the Executive Committee voting,
subject to the approval of not less than fifty-one percent (51%) of the
total membership and effective only after date of approval provided the
amendment is read at two (2) meetings or all members were notified by
mail.


BY-LAWS


ARTICLE 1 - Organization

Sect. 1. Governing Body of this Society shall be the Executive
Committee (Board) in session, except as provided in the constitution.

Sect. 2. Records of the proceedings of the Society and Executive
Committee (Board) shall be kept and open for the inspection of any
member in good standing, upon request.

ARTICLE II - Charter

All charters issued by governments of Federal, State, County or other
governments, shall be conspicuously displayed in the locale of the
president's seat at all regular or special meetings.

ARTICLE III - Executive Committee (Board)

Sect. 1. An executive committee shall be constituted as provided for in
article IV, section 1.

Sect. 2. Meetings of the executive committee shall be called by the
president, or at the request of a majority of its members, made in
writing to the president.

Sect. 3. Five (5) members shall constitute a quorum at any duly convened
meeting of the society, approving action requires a majority (51%) of
those voting.

Sect. 4. The executive committee may act for the society in emergencies
and will recommend course of action to the society in session or by
mail.

ARTICLE IV - Officers

Sect. 1. The society shall have a president, director of operations,
branch captains, a secretary, a treasurer and board members at large and
others as may be established under the society's authority.

Sect. 2. The director of operations will recommend to the society,
establishment of volunteer or appointed positions and personnel to fill
positions and will direct their activities.

ARTICLE V - Qualifications

Any member of the society in good standing is eligible to be considered
for any elective, appointive or employed position within the society.

ARTICLE VI - Selection of Officers

Sect. 1. Selection of officers shall be conducted as necessary to
ensure the uninterrupted operation of the society.

Sect. 2. Officers shall be selected the director of operations with
concurrence of the executive committee.

ARTICLE VII - Tenure

Sect. 1. Selected officers will serve at the pleasure of the executive
committee.

Sect. 2. If the presidency is vacated for any reason, the most senior
branch captain will take the position until such time as a new president
can be selected by the membership. HELP!!!! Need your input
here!!!!!!!!!!!!!!!!!!!!!!!

ARTICLE VIII - Membership

Members only are eligible to participate in society activities and
business.

ARTICLE IX - Finances

Sect. 1. The treasurer shall deposit all monies in the name of the
society in a federally chartered or insured financial institution and
shall be cosigner with the president or one other officer on all checks
issued by the society.

Sect. 2. The treasurer shall keep an accurate records of all monies
received and disbursed and shall deposit all monies received as soon as
practicable. He/she shall make a report on finances from time to time
and make records of his office open to any member when a written request
is made for such showing.

Sect. 3. An audit of the treasurer's records shall be made at the
direction of the director of operations as he deems necessary, annually
and/or upon change of the treasurer.

Sect. 4. Annual dues for this society shall be established as the
executive committee may direct.

Sect. 5. In the event of the society's dissolution, after all just
debts are paid, cash assets shall be donated to another non-profit
organization of the executive committee's choosing for genealogical
purposes.

ARTICLE X - Meetings

Sect. 1. Any meeting of the society will be called by the executive
committee.

Sect. 2. Meetings will be advertised for no less than two (2)
consecutive months prior to the month of the meeting.

Sect. 3. Society members will be eligible to attend meetings and will
have one (1) vote each on all voting matters brought before the
membership.

ARTICLE XI - Committees

Sect. 1. Committees may be established by the executive committee and
the chairmen of such committees will set time and place of meetings
unless requested to do otherwise, by the director of operations.

Sect. 2. The director of operations is ex-officio member of the each
committee.

ARTICLE XII - Miscellaneous

Sect. 1. All amendments of these by-laws shall be in conformance with
Article VII - Constitution of this society.

Sect. 2. If the constitution and by-laws are inconsistent with the
provisions of any laws, of any lawful mandates, now in force, or
hereafter amended or adopted, these instruments shall be deemed amended
so as to conform, thereto.




ARTICLE XIII - Adoption


This Constitution, page 1 of 4, and by-laws, pages 2-4 are adopted this
